These are the standard terms and conditions that is a legal agreement between the company (“MLM Block”) and the client (“Customer”). The term "User" shall refer to any person who is browsing the site. The term "site" refers to www.mlmblock.com

At MLM Block, we are committed to delivering high-quality software solutions with transparency and professionalism. By engaging with our services, you agree to the following terms and conditions that define our mutual responsibilities.

1. Changes To This Agreement Or The Services

MLM Block reserves the right to alter these Terms and Conditions at any time. Such changes will be effective and legally binding on you when posted on our website for the Service or when we use reasonable efforts to notify you by other means. Please review these Terms and Conditions periodically for changes. Your continued use of this Service after amended Terms and Conditions is posted on this website or is otherwise brought to your attention signify that you agree and accept to be legally bound by the changes.

2. Processing Objectives

• The Company, in connection with providing the Services, undertakes to process personal data on behalf of the Client in accordance with the conditions laid down in the Addendum. ”Personal Information” means information that relates, directly or indirectly, to an identified or identifiable person (a “Data Subject”), which may include names, email addresses, postal addresses, or online identifiers, that Client provides or submits in connection with using the Services. The processing will be executed exclusively within the framework of the Agreement, and for all such purposes as may be agreed to subsequently.
• The specific categories of Personal Information that the Company will Process in Connection with the Agreement are outlined in the Scope of Processing.
• The Company shall refrain from making use of the personal data for any purpose other than as specified by the Client. The Client will inform the Company of any such purposes which are not contemplated in this Addendum.
• All personal data processed on behalf of the Client shall remain the sole and exclusive property of the Client and/or the relevant Data subjects.

3. Source Code & Ownership

Upon completion of the project and after full payment has been received, MLM Block will hand over the developed source code to the client. The client has full rights to use and customize the software for their own business operations. However, resale or redistribution of the software to third parties is not permitted under any circumstances. The intellectual property rights, including the core technology and frameworks used to develop the solution, will always remain the sole property of MLM Block.

4. Software Use & Responsibility

Clients are expected to use the software responsibly and are advised not to modify the source code on their own. Unauthorized modifications may compromise the performance and stability of the system. In such cases, MLM Block cannot be held responsible for maintenance or troubleshooting. Any effort required to fix issues caused by client-side modifications will be considered outside the scope of free support and will be chargeable at our standard rates.

5. Data Protection & Privacy

As part of our services, we process personal and business data on behalf of our clients. In line with global standards such as GDPR, MLM Block acts as the data processor, while the client remains the data controller. We ensure that data is handled strictly according to the client’s documented instructions, using appropriate technical and organizational safeguards. All information is treated as confidential, stored securely, and processed only for the purpose of delivering the agreed services.

If there is a request from a data subject, or in the unlikely event of a security breach, MLM Block will promptly notify the client and extend full cooperation to resolve the matter. However, ultimate responsibility for regulatory compliance and data governance rests with the client.

6. Security & Confidentiality

MLM Block takes data security seriously. We apply industry-standard measures to safeguard personal and business information against unauthorized access, loss, or misuse. Both MLM Block and the client are responsible for maintaining the confidentiality of sensitive information shared during the project. While we do our utmost to protect data under our control, we are not liable for data loss or breaches caused by mishandling on the client’s side.

7. Project Pre-Requisites

The client is requested to provide the company with all the items in Soft & Hard copies, which are required to use on various stages of Website designing & software development.

• The title of the Project / Company / Venture & LOGO.
• Company Address, mailing address, Phone Numbers to be shown on website Contact us page.
• Finalized Descriptive matter of Business Plan with illustrations. Case studies for references and also critical logic explanations to understand the fund’s allocations for each income offered.
• Application form format to know the fields of data to be filled by the applicant, and a list of Terms & Conditions to be accepted by the applicant while signing up.
• Content material like a profile of the company or promoters to be shown on the website, Products / Services literature, proprietary images (If any), etc.
• ID No. Format – The unique identical number or username the system should allocate.
• Color choice, if you have any, for website design, specifications like links and navigation required on the open website.
• Formats of Bills, Certificates, receipts and other any stationery, which need to provide from the software.
• The flow of Business operational procedures as chosen to administrate the complete business activity.
• If the client wants to integrate any third-party application like payment gateway, the client has to provide required integration API on the time to avoid delay of project delivery.

The early arrangement of above-listed points enables company to design, develop & deliver the application software as per the client requirement on time.

8. Payments & Additional Requirements

We require an advance payment at the time of placing an order, with subsequent payments to be made according to the agreed project schedule. Failure to make timely payments may result in suspension of work. Any additional requirements or new features requested beyond the original scope will be subject to a fresh quotation and may affect project delivery timelines. All applicable taxes will be charged as per Indian law.

9. Termination of Services

MLM Block reserves the right to terminate services if a client is found to be in breach of these Terms and Conditions. In such cases, no refunds will be issued, and all licensed software must be discontinued. We also retain the authority to decide what constitutes a breach under this agreement.

10. Miscellaneous

• Logs and measurements taken by the Company shall be deemed to be authentic, unless the Client supplies convincing proof to the contrary.
• This DPA and the Agreement are Data Exporter’s complete and final instructions to Data Importer for the Processing of Personal Data. Any additional or alternate instructions must be agreed upon separately.
• In the case of any inconsistency between documents and the appendices thereto, the following order of priority will apply:
  • The Agreement;
  • The Addendum
  • Additional conditions, where applicable

11. Disclaimer

While MLM Block follows industry best practices in data protection, software development, and compliance, the client remains solely responsible for ensuring their business operations meet the requirements of GDPR and other applicable laws. We do not provide legal warranties that our services or agreements will satisfy every regulatory obligation.

By engaging our services or placing an order, the client acknowledges that they have read, understood, and accepted these Terms and Conditions. MLM Block reserves the right to update or modify these terms at any time without prior notice.
